Beiqi Blue Valley Plans to Establish Platform Company to Build Battery Cell Factory: CATL, Xiaomi Participate

On March 9th, it was announced that Beiqi Blue Valley intends to establish a platform company named Beiqi Sea Blue Energy Technology (Beijing) Co., Ltd. (hereinafter referred to as the "Platform Company"), with joint investment from Beiqi Capital Investment, Beijing Haina Chuan, and Beiqi Blue Valley.

The registered capital of the platform company is 390 million CNY. Beiqi Blue Valley will contribute 50 million CNY, accounting for 12.82%; Beiqi Capital Investment will contribute 240 million CNY, accounting for 61.54%; and Beijing Haina Chuan will contribute 100 million CNY, accounting for 25.64%.

Beiqi Capital Investment and Beijing Haina Chuan are related parties of Beiqi Blue Valley, thus constituting a related-party joint investment transaction.

After its establishment, the platform company will serve as the management and investment entity, jointly establishing a joint venture company named Beijing Times New Energy Technology Co., Ltd. (hereinafter referred to as the "Joint Venture Company") with CATL, Jingneng Technology, and Xiaomi's automotive division. Upon establishment, the Joint Venture Company will invest in and construct an intelligent battery manufacturing factory in Beijing.

The registered capital of the Joint Venture Company is 1 billion CNY. The platform company will contribute 390 million CNY, accounting for 39%; CATL will contribute 510 million CNY, accounting for 51%; Jingneng Technology and Xiaomi's automotive division will each contribute 50 million CNY, accounting for 5% each.

According to the announcement, the Joint Venture Company will be located in the Beijing Economic and Technological Development Zone, with expected business scope covering the development, production, sales, and provision of related after-sales and technical consulting services for lithium-ion batteries, power batteries, and energy storage batteries.
